1. Registering a new business (New Business Setup)
Limited company registration. Raises the standing of your business and prepares it for growth and outside investment. Under current law only two founders are needed to incorporate.
Limited partnership registration. Suits a business that wants flexibility in a partnership structure. Simple to manage, quick to complete, ready to trade immediately.
What the setup package includes, for both companies and partnerships:
- Name reservation in the Department of Business Development (DBD) system
- Preparation of all documents and the full registration filing, from start to finish
- One company seal
- A certified set of the official registration documents
- Online filing access: rights and credentials for the e-Filing systems of both the DBD and the Revenue Department, for future use
2. Tax registrations with the Revenue Department (Tax Compliance Services)
VAT registration: filing the application to enter the VAT system (Por Por 01) for a business that reaches the revenue threshold or wants to claim input tax.
Notifying changes to tax registration details (Por Por 09): filing when the business changes, such as moving premises in or out, adding or closing branches, or changing the operator's name or the name of the establishment.
Documents and online services: obtaining certified copies from the Revenue Department, obtaining passwords for transactions and internet tax filing, and deregistering from VAT when the business is restructured.
3. Changes to registered details and closing a business (Amendments and Dissolution)
Registering changes to company details: keeping the record current, such as changing or adding directors, moving the registered office, adding business objectives, or increasing or reducing capital.
Dissolution and liquidation: closing a company or partnership properly, free of continuing obligations, including the liquidation process and filing the financial statements as at the dissolution date, meeting every government requirement.

Work steps
To make registration as fast and as simple as possible, our team keeps the whole process in one place.
1. Document checklist and collection
A registration specialist tells you in advance exactly which documents and evidence are needed. We can then send a member of staff to collect them from you, originals and copies, or you can post them or bring them to the STA office, whichever suits you.
2. Form preparation and signing
Our team prepares and completes every application form correctly under the law, then sends the papers to you and to anyone else involved to check and sign. STA then acts as your agent and files them with the relevant government offices.
3. Official filing and delivery
Once the filing is approved, we collect the full set of important papers, the original certificates and the company seal, and deliver them to you within 3 working days, so you can start using them straight away.

1. Registering a limited company
- Copy of the ID card of every shareholder, minimum two people, each signed as a certified copy
- Copy of the house registration of every shareholder
- Copy of the house registration of the premises to be used as the registered office
- Consent letter for use of the premises, with a copy of the householder's ID card, if the premises do not belong to a founder
- Copy of the lease agreement, if the premises are rented
- A simple location map of the office
2. Decisions to make before filing
- Three preferred company names in order of preference, in both Thai and English
- Registered capital and each person's shareholding
- The objectives of the business
- The list of directors and the conditions of signing authority
- The date you want as your accounting year end
3. Registering a limited partnership
The same documents as section 1, but with two or more partners, and you must state who is a limited-liability partner and who is an unlimited-liability partner.
4. VAT registration
- Copy of the company affidavit and the shareholder list, Bor Or Jor 5
- Copy of the ID card and house registration of the authorised director
- Proof of the right to use the premises, such as a lease or a consent letter
- Photographs of the premises clearly showing the company sign and the house number

The three things that slow registration down most
1. The name applied for is already taken or too close to an existing one, which is why you should always have three alternatives ready
2. Incomplete documents for the premises, especially the consent letter for use of the premises and a copy of the householder's ID card
3. Shareholders in different provinces or abroad, which makes collecting signatures slow
Allow at least two weeks if you have a fixed date for opening a bank account or signing a contract with a business partner.

Question: Should I register as a limited company or a partnership?
A: You should consider various relevant factors to determine which type of business to set up. For example, a sole proprietorship if you have your own capital and want flexibility; a limited partnership if you have relatives or friends as investors; or if your target audience is businesses or government agencies that require credibility, then registering as a limited company is a good idea.

Question: How much capital should I register for when opening a company?
A: Consider and analyze your business to determine how much capital you'll need to operate it, and the company's credibility. If you're looking to do business with a government agency, they may also consider registered capital for employment purposes.

Question: Why must I register 1 million baht in capital?
A: The company registration fee is calculated based on the registered capital. Capital of up to 1 million baht is 5,000 baht, while capital of less than 1 million baht is charged at the same rate.

Question: What do I need to do to open a new company?
A:
1. Accounting and financial statements
- Prepare legally compliant accounts from the date of registration as a juristic person. The types of accounts required include daily accounts, general ledger accounts, and financial statement details.
- The first closing of accounts must be held within 12 months, and every 12 months from the previous closing date. The annual general meeting of shareholders must be held to approve the financial statements within four months of the closing date. The financial statements must be submitted to the Provincial Business Development Office within one month from the financial statement approval meeting.
- Maintain the accounts and supporting documents for at least five years.
2. Prepare share certificates and shareholder registers.
- Share certificates (only for limited companies) must be prepared and given to the company's shareholders. Failure to do so is punishable by a fine not exceeding ten thousand baht.
- The company's shareholder register must be prepared (only for limited companies). Failure to do so is punishable by a fine not exceeding twenty thousand baht.
