1. Company Registration Services
Company registration is a business that requires three or more partners. Customers will benefit from this service, which includes reserving a name in the DBD system. All registrations will include one seal, a copy of the DBD registration document, and an E-filling user number from both the DBD and the Revenue Department.

2. Limited Partnership Registration Services: Customers will receive the following services from this limited partnership registration service:
From reserving a name in the DBD system to the registration process, one standard seal, a copy of the DBD registration document, and an E-filling user number from both the DBD and the Revenue Department.

Criteria for calculating service fees

Government Fees

1. Registering a memorandum of association for a capital not exceeding 100,000 baht, 50 baht of the prescribed capital. Any fraction of 100,000 baht shall be counted as 100,000 baht. The total amount shall not be less than 500 baht and not more than 25,000 baht.
2. Registering a company: 500 baht for every 100,000 baht of registered capital, but not less than 5,000 baht and not more than 250,000 baht (a fraction of 100,000 baht is counted as 100,000 baht).
3. Certificate of Incorporation: 200 baht per copy.
4. Certificate of Registration: 100 baht per copy.
5. Certified copies of documents: 50 baht per page.

Work steps

1. The registration officer will inform you of the documents and evidence you need to prepare for the registration process. The officer will collect the documents from you or you may submit them to the office (some documents require originals).

2. The office will print the required forms for registration and deliver them to you and your relevant parties for signature before submitting them to the relevant government agencies for registration.

3. You will receive the completed documents within three days of the completion of the process.

Question: Should I register as a limited company or a partnership?
A: You should consider various relevant factors to determine which type of business to set up. For example, a sole proprietorship if you have your own capital and want flexibility; a limited partnership if you have relatives or friends as investors; or if your target audience is businesses or government agencies that require credibility, then registering as a limited company is a good idea.

Question: How much capital should I register for when opening a company?
A: Consider and analyze your business to determine how much capital you'll need to operate it, and the company's credibility. If you're looking to do business with a government agency, they may also consider registered capital for employment purposes.

Question: Why must I register 1 million baht in capital?
A: The company registration fee is calculated based on the registered capital. Capital of up to 1 million baht is 5,000 baht, while capital of less than 1 million baht is charged at the same rate.

Question: What do I need to do to open a new company?
A:
1. Accounting and financial statements
- Prepare legally compliant accounts from the date of registration as a juristic person. The types of accounts required include daily accounts, general ledger accounts, and financial statement details.
- The first closing of accounts must be held within 12 months, and every 12 months from the previous closing date. The annual general meeting of shareholders must be held to approve the financial statements within four months of the closing date. The financial statements must be submitted to the Provincial Business Development Office within one month from the financial statement approval meeting.
- Maintain the accounts and supporting documents for at least five years.
2. Prepare share certificates and shareholder registers.
- Share certificates (only for limited companies) must be prepared and given to the company's shareholders. Failure to do so is punishable by a fine not exceeding ten thousand baht.
- The company's shareholder register must be prepared (only for limited companies). Failure to do so is punishable by a fine not exceeding twenty thousand baht.
